Keystone Lab Terms of Service

We are TZ APAC Pte. Ltd., a private limited company incorporated with registration number 202012283D under the laws of Singapore with its registered address at 36 Robinson Road, #07/05-06 City House, Singapore 068877, as the operator of Keystone Lab (“we” or “us”).

Acceptance of the Keystone Lab Terms of Service

This document sets out the terms and conditions (the “Site Terms'') that are effective as of the first date you ("you") use keystonelab.com its sub-domains, any pages and/or functionalities, and any of the APIs and other component applications (the “Site”) to access the Products (as defined below) and/or use other functions.

Keystone Lab is a product creation company dedicated to designing, building, and launching products across a wide range of categories. Our Site provides visitors with information about the entity, showcases our product portfolio, and directs users to the individual product platforms and services we offer. Each product may be subject to its own separate terms and conditions in addition to these Terms.

When you access and use the Site, you signify that you have read and understand, and agree with these terms. If you do not agree to these terms, you are not permitted to use the Site. These terms have the same force and effect as an agreement in writing. These Site Terms were most recently updated on 16 February 2026.

Definitions and Interpretation: In these Terms, the following words and phrases have the meanings set out below:

"Products" means the software applications, tools, services, or other offerings developed and/or distributed by Keystone Lab, each of which may have its own dedicated platform and terms.
"Site Materials" means all content, designs, code, graphics, text, branding, trademarks, and intellectual property made available through the Site.
"User", "you", or "your" means any person or entity who accesses or uses the Site.

Use of the Site:

The Site is provided for informational purposes and to facilitate navigation to Keystone Lab's Products. We make no guarantees, express or implied, regarding uninterrupted availability or operation of the Site. The Site and any content on it may be updated, modified, or removed at any time without prior notice.

Eligibility:

You represent and warrant that you are at least the legal age required to form a binding contract under applicable law in your jurisdiction. If you are accessing the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Intellectual Property:

All Site Materials, including but not limited to the Keystone Lab name, logo, product names, designs, written content, and code, are owned by Keystone Lab or its licensors and are protected by applicable intellectual property laws worldwide. Nothing in these Terms grants you any ownership, license, or right to use any of the Site Materials except as expressly permitted herein. You may not copy, modify, reproduce, distribute, publish, display, reverse engineer, or create derivative works from any Site Materials without our prior written consent. Individual open-source components, where applicable, are governed by their respective open-source licenses.

Products and Third-Party Links:

The Site may link to or provide access to individual Keystone Lab Product platforms, as well as third-party websites, tools, or services ("External Sites"). These links are provided for convenience only. Keystone Lab is not responsible for the content, availability, or practices of External Sites, and the inclusion of any link does not imply endorsement or affiliation. Each Keystone Lab Product may be governed by its own separate terms of service, privacy policy, and pricing structure. Please review those terms carefully before using any specific Product.

No Warranty:

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by applicable law, Keystone Lab disclaims all warranties regarding the accuracy, completeness, reliability, or availability of the Site or its content. Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded by applicable law.

Limitation of Liability:

To the maximum extent permitted by law, Keystone Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of, or inability to use, the Site. Keystone Lab's total aggregate liability for any claim arising out of or relating to these Terms or the Site shall not exceed SGD 100 or the equivalent in your local currency, to the maximum extent permitted by applicable law.

Use Restrictions:

Any violation of these terms, including the restrictions described below, may result in suspension or termination of your access or use of all or any part of the Products and Site in Keystone Lab’s sole discretion. You agree to follow the restrictions below and you will not encourage or facilitate others to violate these restrictions. Unless otherwise agreed with Keystone Lab in writing, you shall not, and shall not encourage or authorize others to:

Use the Site in any manner not expressly authorized by these Terms.
Copy, scrape, crawl, or extract data from the Site using automated means, bots, or similar technologies, except as expressly permitted.
Attempt to gain unauthorized access to any portion of the Site or its underlying systems.
Use the Site to distribute malware, spam, or other harmful content.
Engage in any activity that interferes with the performance, stability, or security of the Site.
Misrepresent your identity or affiliation with any person or entity when accessing the Site.
Imply any endorsement, partnership, or affiliation with Keystone Lab without our prior written consent.
Use the Site in violation of any applicable law or regulation, including data protection, consumer protection, and intellectual property laws.
Use any content from the Site for advertising, resale, or commercial exploitation without our express written consent.

Public Statements:

You may not make any public statement that suggests a partnership, sponsorship, or endorsement relationship with Keystone Lab without our prior written approval.

Data Protection:

Compliance and Tax Obligations:

The Site may not be appropriate or available for use in all jurisdictions. You are solely responsible for ensuring that your use of the Site complies with all laws and regulations applicable to you. Any tax consequences arising from your interactions with Keystone Lab's Products are your sole responsibility.

External Sites:

The Site may contain hyperlinks to websites or resources operated by third parties. These links are provided as a convenience, and Keystone Lab has no control over such External Sites. We are not responsible for the content, policies, or practices of any External Site. Your use of External Sites is at your own risk and subject to the terms and conditions of those sites.

Termination:

Keystone Lab may, at its sole discretion, immediately suspend or terminate these Terms, any rights granted herein, or your access to or use of the Products and Site, in whole or in part, at any time and for any reason, with or without notice. Keystone Lab shall have the sole right to determine whether you have violated any provision of these Terms. Without limiting the foregoing, Keystone Lab may restrict, throttle, suspend, or discontinue your access to the Products and Site if your use may adversely affect the Products, other users, Keystone Lab’s operations, or its ability to provide services. Keystone Lab shall not be liable to you or any third party for any loss, cost, or damages arising from any suspension or termination. You may terminate your use of the Site and Products at any time by discontinuing use and, where applicable, closing your account in accordance with the provided procedures. Upon termination, all licenses and rights granted to you under these Terms shall immediately cease, and you shall promptly cease all use of the Site and, upon request, delete or return any information expressly identified as confidential of Keystone Lab and certify such deletion or return. For the avoidance of doubt, termination shall not affect any accrued rights, obligations, or liabilities arising prior to termination. Modifications to Terms:

We may modify these Terms at any time. Updated Terms will be effective upon posting to the Site. Your continued use of the Site following any update constitutes your acceptance of the revised Terms.

User Indemnity:

You agree to indemnify, defend, and hold harmless Keystone Lab and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your violation of these Terms, your violation of applicable laws, or your infringement of any third-party rights.

Force Majeure:

Keystone Lab shall not be liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including natural disasters, internet or infrastructure outages, cyberattacks, regulatory actions, pandemics, or other force majeure events.

General:

You and we agree that these Site Terms will be governed solely by the laws of Singapore without regard to the conflict of law principles. Any claim, dispute or controversy of whatever nature arising out of or relating to these Site Terms shall be referred to and finally resolved by arbitration in Singapore administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules) for the time being in force, which rules are deemed to be incorporated by reference in this Section. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English. This Section governs all claims arising out of or related to the Site Terms, including without limitation tort claims, unless otherwise provided in these Site Terms.

These Site Terms are personal to you and no third party is entitled to benefit under them. You agree that we can transfer our rights and obligations under these Site Terms to any other companies in the same group as us, or to any other company or firm or person provided that your rights under these Site Terms will not be adversely affected as a result of such transfer. You may not transfer your rights or obligations under these Site Terms to anyone else.

If any paragraph or section, or if any part of a paragraph or section, of these Site Terms is held to be unlawful, invalid or unenforceable by a court or legal authority, that paragraph or section, or any part of that paragraph or section, shall be treated as removed. The validity and enforceability of the remaining parts of these Site Terms shall continue and will not be affected.

To the extent we fail to or decide not to exercise any right of claim against you to which we are entitled, this will not constitute a waiver of that right unless otherwise indicated to you in writing.
